Acceptance of these terms
These terms apply when you create a Tiybe account, start a free trial, subscribe to a plan, or otherwise use the Tiybe service and this website. By doing any of those things you agree to them. If you do not agree, do not use the service.
If you are agreeing on behalf of a company or practice, you confirm you are authorised to bind it, and "you" in these terms means that organisation.
How we handle personal information is set out separately in our Privacy Policy, which forms part of these terms.
TODO(legal) — Name the legal entity you contract with, including its registration number and GSTIN, and define it as a term ("Tiybe", "we", "us") used throughout. A contract cannot identify one party by brand alone.
Who may use Tiybe
Tiybe is built for businesses and accounting practices, and is offered for business use rather than personal use. You must be able to enter into a binding contract in your jurisdiction, and you must use the service in compliance with the laws that apply to you.
TODO(legal) — State the minimum age for the jurisdictions Tiybe operates in, and confirm whether any territories are excluded (sanctions or export-control restrictions). If territories are excluded, signup must enforce it, not just this page.
Your account
You are responsible for the accuracy of the information you register with, for keeping your login credentials confidential, and for everything done under your account. Tell us promptly if you believe an account has been accessed without authorisation.
Where your plan allows more than one user, you are responsible for the people you invite and for what they do in your environment. Plan user limits are published on the pricing page.
TODO(legal) — Decide the rule for account ownership and access disputes: who Tiybe recognises as controlling a company's data, what proof is required to transfer control, and what happens when an accountant and their client disagree.
Acceptable use
When using Tiybe you agree not to:
- break the law, or use the service to help someone else break it;
- upload content you have no right to upload, or personal information you are not permitted to share with us;
- attempt to gain unauthorised access to the service, another customer's environment, or the systems the service runs on;
- probe, scan, overload or otherwise interfere with the service or the infrastructure behind it;
- copy, resell, sublicense or make the service available to anyone outside your organisation except as your plan expressly allows;
- reverse engineer the service, or use it to build a competing product, except where the law gives you a right that cannot be excluded;
- upload malware, or anything designed to disrupt or damage the service.
TODO(legal) — Add the fair-use and rate-limit position: what limits apply to API and bulk operations, what happens when they are exceeded, and whether "unlimited" entries on the pricing page carry any ceiling. Enforcement already exists in places; the terms should match it.
Subscription and billing
What you are charged for
Tiybe is sold as a subscription and priced per company: each business entity you manage in Tiybe is billed separately. Add-on modules are also billed per company, on top of the plan. The plans, the add-ons and their current prices are published on the pricing page, which is the authoritative list — this page deliberately does not repeat figures that would then need maintaining in two places.
Billing cycle
You can pay monthly, or annually by paying for twelve months upfront at the published annual rate. You can switch between monthly and annual billing at any renewal.
Prices and price changes
If we change a published price, that change does not alter what an existing subscriber pays. The price in force when you subscribed continues to apply to your subscription — our billing records keep the price you signed up under rather than overwriting it, so a change to the published rate affects new subscriptions rather than yours.
Plan prices are set for each market individually rather than converted from another currency at an exchange rate: the price you see for your market is a price chosen for it. Where an add-on is shown to you in one currency and charged in another, the amount charged is converted at the rate applying when the charge is raised.
Payment
Payments are processed by Razorpay as our payment processor. Card, UPI and net-banking details are entered with Razorpay and handled by them — Tiybe does not receive or store your card details. Razorpay's own terms and privacy policy apply to that transaction in addition to these terms.
Taxes
TODO(legal) — State the tax position: whether published prices include or exclude GST and other applicable taxes, how tax is handled for customers outside India, and what appears on the invoice. This is the same open question as docs/PRICING-PAGE-PLAN.md §6 Q4, and the pricing page deliberately shows no tax line until it is answered.
Non-payment
TODO(legal) — Set out what happens if a payment fails: retry schedule, any grace period, whether access is downgraded or suspended, what notice is given, and any interest or reinstatement charge. This has to match what the billing system actually does.
Cancellation and refunds
How to cancel, and our position on refunds, are set out separately in our Cancellation and Refunds policy. That document governs those questions; nothing on this page varies it.
One thing we can already state: removing an add-on module does not cut off access you have already paid for. The module stays available until the period you paid for ends, and it can be restored within that window without paying again.
TODO(legal) — Confirm with the platform team whether cancelling a plan subscription mid-cycle keeps access to the end of the paid period, as removing an add-on does, and state it here. The refund consequence belongs on the Refunds page, not here.
Free trial
Every plan starts with a free trial of 30 days. No credit card is required to start one, and starting a trial does not create a payment obligation.
When the trial ends you can subscribe to a plan to continue. If you do not, the account pauses until a plan is taken — it does not roll into a paid subscription on its own.
TODO(legal) — Decide the trial rules: whether an organisation may take more than one trial, and what happens to data entered during a trial that does not convert — how long it is kept and whether it can be recovered. Keep the answer consistent with the retention periods in the Privacy Policy.
Intellectual property
Ours
The Tiybe service, its software, its design and the Tiybe name and marks belong to us and to our licensors. Subscribing gives you a right to use the service under these terms; it does not transfer ownership of any of it.
Yours
The accounting records, documents and other content you put into Tiybe remain yours. We do not claim ownership of them. You grant us only the permission we need to host, process, back up and display that content in order to provide the service to you, and to comply with the law.
TODO(legal) — Decide and state two things: whether feedback and suggestions may be used without obligation, and whether customer content may ever be used in aggregated or de-identified form to improve the service or to train models. Given Tiybe is sold as an AI product, the second question will be asked in every security review — answer it explicitly rather than leaving it out.
Third-party services
Tiybe works alongside services operated by other companies — our payment processor, and any integration you choose to connect. Those services are governed by their own terms, and we are not responsible for how they behave, for their availability, or for changes they make.
Where you connect an external account to Tiybe, you confirm you are entitled to do so, and you authorise us to exchange data with that service in order to provide the feature you enabled.
TODO(legal) — List the integration categories that actually exist (bank feeds, filing and e-invoicing gateways, and so on) and confirm whether any carry additional terms a customer must accept separately.
Availability and changes
We work to keep Tiybe available and to improve it continuously. Features may be added, changed or withdrawn, and maintenance is sometimes necessary.
TODO(legal) — Decide whether Tiybe commits to an availability target or support response times, and if so publish the figures, how they are measured, and what remedy applies when they are missed. Also decide the notice given before a feature is withdrawn or materially changed. Do not state an uptime percentage or a support SLA that no one has agreed to operate.
Warranties and disclaimers
Tiybe is accounting software. It helps you prepare and manage your records; it does not replace professional judgement, and using it does not make us your accountant, auditor or tax adviser. You remain responsible for the accuracy of your records and for meeting your own filing and compliance obligations.
TODO(legal) — Draft the warranty position and disclaimer for the jurisdictions Tiybe actually sells into. Consumer-protection statutes in some of those markets limit what can be excluded, so a generic "provided as is" clause is not sufficient and may be unenforceable.
Limitation of liability
TODO(legal) — Draft the liability position: the cap and how it is calculated, the categories of loss excluded, and the liabilities that cannot be limited in each jurisdiction. This clause interacts with Tiybe's insurance cover and must be signed off commercially as well as legally.
Indemnity
TODO(legal) — Decide the indemnity position: what the customer indemnifies Tiybe against, whether Tiybe gives any indemnity in return (an IP infringement defence is the one enterprise buyers ask for), and the conduct-of-claims procedure.
Suspension and termination
You can stop using Tiybe at any time; how to cancel a subscription is covered in our Cancellation and Refunds policy.
We may suspend or end access where these terms are seriously or repeatedly breached, where an account is being used unlawfully, or where continuing would put the service or other customers at risk.
TODO(legal) — State what happens on termination: the notice given, how long data can be exported afterwards, when it is deleted, and how that sits with statutory record-keeping obligations for accounting records. This must match the retention periods in the Privacy Policy exactly.
Governing law and disputes
TODO(legal) — Set the governing law, the exclusive jurisdiction, and whether disputes are resolved by arbitration (and if so, the seat and the rules). Tiybe operates from India and sells into New Zealand and the Gulf, so this cannot be assumed from the registered address alone. Nothing on this page states a forum until it is decided.
Changes to these terms
We may update these terms as the service changes. The date at the top of this page is the date of the current version.
TODO(legal) — Decide how changes take effect: what notice is given, whether continued use counts as acceptance, and what a customer part-way through a paid annual term may do if they do not accept a material change.
